Kate is a California lawyer who specializes in commercial transactions, with particular focus on technology engagements including intellectual property development, transfer and assignments, inbound and outbound licensing of SaaS/PaaS solutions, media and content, mobile applications and cloud services and products, as well as a variety of other transactions. Additionally, Kate frequently assists clients with creating form agreements, website and privacy policies, and localizing contracts for use in the US and the UK. Kate also advises on and works on employment and labor-related issues, including advising on and drafting proprietary invention and assignment agreements, separation terms and agreements and services and confidentiality agreements, both in the US and UK. She represents, works with and works opposite start-ups, mid-sized entities and publicly traded/listed companies and has a broad base of experience and depth of knowledge. She particularly enjoys working closely with clients and helping clients achieve their commercial objectives and get their deals done.

Kate started her legal career in 2000 at Chase Hambrecht & Quist in San Francisco working on security compliance-related matters. She joined Totality Corporation as Corporate Counsel in late 2000, where she worked on a full spectrum of company issues as the sole in-house counsel. Kate managed all of Totality’s legal transactions, negotiating service agreements, in-bound and outbound license agreements, strategic partnerships and reseller agreements with companies that included American Airlines, Sony Corporation, Louis Vuitton and Best Buy, as well as smaller and mid-sized organizations. She was later promoted to Director of Legal Affairs and Assistant Secretary to the Board of Directors. Kate joined the Thompson Legal Advisory Services team in February 2005 at which time she also continued to work closely with Totality Corporation and was integral to its negotiations and sale to Verizon.

Kate earned her Bachelor of Science from the University of Virginia and her Doctor of Jurisprudence (J.D.) from Denver University. She was admitted to and has been a member of the California Bar since 2000 and the District of Columbia Bar since 2007.

Kate in her spare time enjoys travel, diving, tennis, reading, spending time with her family and is determined to one day go to Angkor Wat and become fluent in Spanish.
