Tamara has extensive experience in the areas of mergers, acquisitions, spin-offs/hive-offs and divestitures. She has represented buyers, sellers, large companies, small companies, investor groups and funds in a variety of public and private transactions in the United States, Europe, India, Asia, and other locations.
Tamara works closely with her clients to structure and negotiate the deal terms and documentation, and bring the transaction to closure on schedule. She has experience in and is very effective at working to help the transaction go smoothly, and proceed quickly and efficiently in terms of cost and resource expenditures. She is also available to help organize (when selling) or perform (when buying) due diligence with her team or her client’s team and other advisors.
Tamara has worked with top law firms in San Francisco Bay Area and London, and has worked as inside counsel of companies that have been acquired and that have acquired other companies and business assets. As a result, she has seen and knows the importance of anticipating, planning for and managing the dynamics that can be present among investors, the board, the executive team and the employees of the acquirer and the target when doing a transaction. She is also aware of the legal, transition and communication details that have to be anticipated, planned for and successfully brought together to help make the transaction successful, and the need to ensure that the overall deal team works together effectively and in a timely manner to do this.
