Tamara and her team have extensive experience in the areas of mergers, acquisitions, spin-offs/hive-offs and divestitures. They have represented buyers, sellers, large companies, small companies, investor groups and funds in a variety of public and private transactions in the US, Europe, India, Asia, and other locations.
Tamara and her team work closely with clients to structure and negotiate deal terms and documentation and bring the transaction to closure on schedule. They have experience in and are very effective at working to help the transaction go smoothly, and proceed quickly and efficiently in terms of cost and resource expenditures. Tamara and her team are also available to help organize (when selling) or perform (when buying) due diligence with clients and their other advisors.
Tamara and her team have worked with top law firms in the San Francisco Bay Area and London, and have worked as inside counsel at companies that have been acquired and that have acquired other companies and business assets. They know the importance of anticipating, planning for and managing the dynamics that can be present among investors, the board, the executive team and the employees of the acquirer and the selling entity. They are also aware of the legal, transition and communication details necessary to make the transaction successful.
